1. Acceptance of Terms
By accessing or using the AXYMS website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.
2. Description of Services
AXYMS provides a web-based consultation tool that helps businesses identify their technology needs through a guided interview process. The tool generates preliminary project plans based on user input. These plans are for informational purposes only and do not constitute a binding proposal or contract for services.
3. Eligibility
The Services are intended for use by businesses and individuals located in the United States and Canada. By using the Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.
4. International Users
While the Services may be accessible from locations outside the United States and Canada, AXYMS makes no representation that the Services are appropriate or available for use in other jurisdictions. Users who access the Services from outside the United States and Canada do so at their own risk and are responsible for compliance with applicable local laws. AXYMS expressly disclaims any liability arising from or related to use of the Services outside the United States and Canada.
5. User Data and Privacy
By using the Services, you consent to the collection and use of your information as described in our Privacy Policy. You agree to provide accurate and complete information when using the Services.
6. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are the property of AXYMS and are protected by applicable intellectual property laws.
Generated project plans. All project plans, reports, and other outputs generated through the Services ("Generated Materials") are and remain the intellectual property of AXYMS. By using the Services, you are granted a limited, non-exclusive, non-transferable, revocable license to view and reference the Generated Materials for your own internal business evaluation purposes only. You may not reproduce, distribute, sell, sublicense, or create derivative works from any Generated Materials without the prior written consent of AXYMS.
User inputs. By submitting information through the Services, including chat messages and interview responses, you grant AXYMS a non-exclusive, royalty-free, worldwide license to use, store, and analyze such inputs to provide and improve the Services.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXYMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AXYMS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in the jurisdiction where AXYMS maintains its principal place of business. For users in Canada, disputes may alternatively be resolved in accordance with the applicable provincial arbitration legislation.
10. Governing Law
For users in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. For users in Canada, these Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
11. Modifications
AXYMS reserves the right to modify these Terms at any time. Changes will be effective upon posting to the website. Your continued use of the Services after any modifications constitutes acceptance of the updated Terms.
